Terms of Service

1. Acceptance of Terms

By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to both you and that organization. If you do not agree to these Terms, do not use the Services.

2. Eligibility

You must be at least 13 years old, or the minimum age required in your country to use the Services without parental consent, to create an account or use the Services. By using the Services, you represent that you meet these requirements and that you are not barred from using the Services under any applicable law.

3. Accounts and Registration

Some features require an account. You agree to provide accurate information and to keep it up to date. You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us promptly at hello@layer8culture.io if you suspect any unauthorized use of your account.

4. Acceptable Use

You agree not to misuse the Services. In particular, you will not:

• Violate any applicable law, regulation, or third-party right.
• Upload or distribute content that is unlawful, infringing, harassing, hateful, deceptive, or otherwise harmful.
• Attempt to gain unauthorized access to the Services, other accounts, or our systems and networks.
• Interfere with or disrupt the integrity or performance of the Services, including by introducing malware or by scraping at a rate that degrades the experience for others.
• Reverse engineer, decompile, or attempt to extract source code from the Services except to the extent permitted by law.
• Use the Services to build a competing product or to train machine learning models without our prior written permission.

5. User Content and Generated Output

The Services may let you submit, upload, or create content (“User Content”) and may produce output, including AI-generated text, images, audio, or other media, based on your inputs (“Generated Output”).

Your content

You retain ownership of your User Content. You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, and display your User Content solely as needed to operate, improve, and provide the Services. You are responsible for your User Content and for ensuring you have the rights necessary to submit it.

Generated output

Subject to your compliance with these Terms, we assign to you whatever rights we hold in the Generated Output you create through the Services. Because AI systems can produce similar results for different users, Generated Output may not be unique, and we make no guarantee that it is original or free from third-party rights. You are responsible for reviewing Generated Output before relying on or publishing it.

6. Intellectual Property

The Services, including their software, design, branding, and content we provide, are owned by Layer8.Culture or our licensors and are protected by intellectual property laws. Except for the rights expressly granted in these Terms, we reserve all rights in the Services. The Layer8.Culture name and logos are our trademarks and may not be used without our prior written consent.

7. Third-Party Services

The Services may integrate with or link to third-party products, services, or websites that we do not control. Your use of those third-party offerings is governed by their own terms and policies, and we are not responsible for them. Including a link or integration does not imply our endorsement.

8. Fees and Changes to the Services

Some features may be offered for a fee. Where fees apply, we will make the applicable pricing and payment terms available before you incur a charge. We may add, change, suspend, or discontinue any part of the Services at any time, and we will try to give reasonable notice of material changes that adversely affect you.

9. Disclaimers

The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, error-free, or that any Generated Output will be accurate or suitable for your purposes.

10. Limitation of Liability

To the fullest extent permitted by law, Layer8.Culture and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services. Our total liability for any claim arising out of or relating to these Terms or the Services will not exceed the greater of the amounts you paid us for the Services in the twelve months before the event giving rise to the claim, or one hundred US dollars.

11. Indemnification

You agree to indemnify and hold harmless Layer8.Culture and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your User Content, your use of the Services, or your violation of these Terms or applicable law.

12. Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services, with or without notice, if we reasonably believe you have violated these Terms or to protect the Services or other users. Provisions that by their nature should survive termination, including ownership, disclaimers, limitations of liability, and indemnification, will survive.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Services after the changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the United States and the laws applicable therein, without regard to conflict-of-laws principles. To the extent permitted by applicable law, you agree that any dispute arising out of or relating to these Terms or the Services will be resolved on an individual basis and not as part of any class or representative action.
